Trading Terms
1. Ownership of Fitted Parts
- Retention of Title: All parts and materials fitted to any machine, equipment, or other item remain the property of Goad Group until the invoice for those parts and materials is paid in full.
- Risk: Risk of loss or damage to the fitted parts passes to the Customer upon delivery and installation. However, ownership remains with Goad Group until payment is made in full.
2. Payment Terms
- Net 30 accounts
Payment for all invoices is due within 30 days of the invoice date, unless otherwise agreed in writing.
- Late Payment Fees:
Any invoice outstanding beyond 30 days will incur a late payment fee of 3.5% of the outstanding amount per month, or part thereof, unless otherwise agreed in writing.
- Fee Calculation:
The late payment fee will be calculated and added to the outstanding invoice balance.
3. Other Provisions
- Legal Costs: In the event Goad Group needs to take legal action to recover outstanding debts, the Customer will be responsible for all related legal costs, including but not limited to, court fees, solicitor’s fees, and other costs associated with the legal proceedings.
- Severability: If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of the state of Victoria, Australia.
- Entire Agreement: These Terms & Conditions constitute the entire agreement between Goad Group and the Customer regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.
